IMPORTANT — PLEASE READ CAREFULLY BEFORE USING THIS PLATFORM

These Terms and Conditions (‘Terms’) constitute a legally binding agreement between you and Rental Trust Ltd. By creating an account or using the Rental Trust platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform. If you are a consumer (an individual acting outside the course of a business), additional rights apply to you under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013, as described in these Terms.

1. Definitions and Interpretation

In these Terms, the following definitions apply:

"Rental Trust", "we", "us", "our"Rental Trust Ltd, a company registered in England and Wales (Company No. [PENDING REGISTRATION]), operating the platform at www.rentaltrust.co.uk. ICO Registration No. [PENDING ICO].
"Platform"The Rental Trust website, web application, mobile application, and all associated services and features.
"User", "you"Any person or entity accessing or using the Platform, including Tenants, Landlords, and Agents.
"Tenant"An individual who creates a Tenant Passport profile on the Platform.
"Landlord"An individual or entity who registers on the Platform to search and access Tenant Passport profiles.
"Agent"A letting agent or property management company who registers to access the Platform on behalf of or in addition to landlords.
"Tenant Passport"The verified digital profile created by a Tenant on the Platform containing identity, employment, tenancy, and reference information.
"Profile Unlock"A pay-per-access purchase enabling a Landlord or Agent to access the contact details and full profile of a specific Tenant.
"Subscription"A recurring monthly plan providing a Landlord or Agent with a set number of Profile Unlocks per billing period.
"Consumer"A User who is an individual acting wholly or mainly outside the course of a business, trade, or profession.
"Business User"A User who is acting in the course of a business, trade, or profession.
"Verification"The process by which Rental Trust reviews submitted documents and assigns a verification status to a Tenant Passport.

2. About Rental Trust

Rental Trust Ltd is registered in England and Wales. We operate a digital platform that enables Tenants to create verified profiles and Landlords and Agents to access those profiles to assist in assessing tenancy suitability. Rental Trust is a technology intermediary only. We are not a letting agent, property manager, or landlord. We are not a party to any tenancy agreement.

3. Acceptance of Terms and Eligibility

By accessing or using the Platform you confirm that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding contract;
  • If registering as a business, you are authorised to bind that business to these Terms;
  • All information you provide is accurate, complete, and not misleading;
  • You will comply with all applicable laws and regulations, including (where applicable) the Immigration Act 2014, the Equality Act 2010, and the Renters’ Rights Act 2024.

The Platform is intended for use in the United Kingdom only. We make no representation that the Platform is appropriate or available for use in other jurisdictions.

4. Account Registration and Security

To access certain features of the Platform you must register for an account. When registering you must:

  • Provide accurate and complete information;
  • Verify your email address before your account becomes active;
  • Maintain the confidentiality of your login credentials;
  • Notify us immediately of any unauthorised use of your account at [email protected].

You are solely responsible for all activity that occurs under your account. Rental Trust is not liable for any loss or damage arising from your failure to maintain the confidentiality of your credentials.

We reserve the right to suspend or terminate accounts where we have reasonable grounds to believe that account security has been compromised, the account is being used fraudulently, or these Terms have been breached.

5. Use Licence and Prohibited Conduct

Rental Trust grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purpose in accordance with these Terms.

You must not:

  • Modify, copy, distribute, transmit, display, reproduce, or create derivative works from any content on the Platform;
  • Use the Platform or any information obtained through it for any commercial purpose other than its intended use;
  • Attempt to decompile, reverse engineer, or otherwise extract the source code of any software on the Platform;
  • Remove any copyright, trade mark, or other proprietary notices;
  • Use the Platform in any way that violates applicable law, including the Equality Act 2010, the Renters’ Rights Act 2024, or data protection legislation;
  • Use the Platform to harass, discriminate against, or harm any individual;
  • Upload or share content that is unlawful, defamatory, obscene, or that infringes third-party intellectual property rights;
  • Attempt to gain unauthorised access to any part of the Platform or its underlying systems;
  • Use automated tools, bots, or scrapers to access or extract data from the Platform;
  • Introduce malicious code, viruses, or other harmful material.

Breach of this clause may result in immediate account suspension or termination, and we reserve the right to report serious breaches to relevant authorities including the Information Commissioner’s Office and the Equality and Human Rights Commission.

6. Tenant Obligations

Tenants who create a Tenant Passport profile agree to:

  • Provide only accurate, truthful, and up-to-date information;
  • Submit only genuine documents — submitting fraudulent or altered documents may constitute a criminal offence;
  • Update their profile promptly if any information becomes inaccurate;
  • Not upload documents belonging to another person or create profiles on behalf of another individual without their express written consent.

Tenants retain control over their profile at all times. You may update, amend, or delete your profile or any part of it at any time through your account settings. Deletion of your profile or removal of specific data fields takes effect immediately on the platform-facing display; underlying data is deleted in accordance with our Data Retention Policy.

7. Landlord and Agent Obligations

Landlords and Agents who access the Platform agree that:

  • Verified information obtained through the Platform must be used solely for the purpose of assessing a specific individual’s suitability as a tenant;
  • You will not share, sell, or otherwise disclose Tenant profile information to any third party without the Tenant’s explicit consent;
  • You will not make tenancy decisions on the basis of any protected characteristic as defined by the Equality Act 2010, including age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, race, religion or belief, sex, or sexual orientation;
  • You will not refuse to consider a tenancy application or impose additional conditions solely on the basis that an applicant receives housing benefit, Universal Credit housing costs, or any other state benefit, in accordance with the Renters’ Rights Act 2024;
  • You remain solely responsible for conducting your own Right to Rent checks under the Immigration Act 2014. Rental Trust’s platform does not conduct Right to Rent checks on your behalf and information on the platform does not constitute a completed Right to Rent check;
  • You will conduct all other due diligence, including credit checks and referencing, that you consider appropriate;
  • Rental Trust’s verification status is one factor among many and does not constitute a recommendation or guarantee of tenancy suitability.

Non-Discrimination Requirement

Blanket policies such as ‘no DSS’, ‘no children’, ‘no foreigners’, or any equivalent restriction are unlawful under the Equality Act 2010 and the Renters’ Rights Act 2024 and are expressly prohibited on this Platform. Accounts found to be operating such policies may be immediately suspended and reported to the Equality and Human Rights Commission.

8. Verification Services

Rental Trust provides verification services to assist Landlords and Agents in assessing Tenant credibility. The following limitations apply and are material terms of these Terms:

  • Rental Trust’s verification is based on visual and contextual review of submitted documents. We do not have access to government databases and cannot independently verify documents through official channels.
  • A ‘Verified’ status indicates only that submitted documents have been reviewed and found to be consistent, legible, and satisfactory at the time of review. It does not guarantee the authenticity of documents or the accuracy of the information they contain.
  • Rental Trust does not guarantee the suitability of any Tenant or the accuracy of any information on the Platform.
  • Landlords and Agents are solely responsible for conducting their own due diligence and for all letting decisions.

These limitations are clearly disclosed to Tenants and Landlords alike and form a fundamental part of the basis on which the Platform is provided.

9. Payment, Billing, and Subscriptions

9.1 Payment Processing

All payments are processed by Stripe Payments Europe Ltd. Rental Trust does not store your card number, CVV, or full payment details. By making a purchase you authorise us to charge your chosen payment method for the amount specified.

9.2 Pay-Per-Unlock Purchases

Pay-per-unlock purchases grant immediate access to a specific Tenant’s contact details and full profile. A purchase is fulfilled, and the digital content delivered, at the point at which access is granted.

9.3 Subscription Plans

Monthly subscription plans provide access to a set number of Profile Unlocks per billing period. The following terms apply:

  • Subscriptions renew automatically at the end of each billing period unless cancelled.
  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that date.
  • Unused Unlocks within a billing period do not roll over to the following period.
  • We will notify you of any price changes at least 30 days before they take effect. If you do not wish to continue at the new price, you may cancel before the change takes effect without penalty.

9.4 Consumer Cooling-Off Rights

Consumer Right to Cancel (Consumer Contracts Regulations 2013)

If you are a Consumer, you have a 14-day right to cancel from the date of purchase. However, by completing a pay-per-unlock purchase or activating a subscription, you expressly request that we begin providing the digital content immediately. You acknowledge that once access to digital content has been granted (in the case of a Profile Unlock) or once the subscription period has commenced and you have used any Unlock (in the case of a Subscription), you lose your right to cancel under the Consumer Contracts Regulations 2013. This does not affect your rights under clause 10 (Refunds) or your other statutory rights.

10. Refunds

Nothing in this clause affects your statutory rights under UK consumer law.

10.1 Pay-Per-Unlock Refunds

Refunds on Profile Unlock purchases will not ordinarily be provided once access to the Tenant’s contact details has been granted. Refunds may be considered at our discretion where:

  • The profile was materially inaccurate or misleading in a way that could not reasonably have been apparent before purchase;
  • The same profile was unlocked more than once due to a system error;
  • A technical fault on our part prevented access to the content after payment was taken.

10.2 Subscription Refunds

Where you cancel a Subscription:

  • If you are a Consumer and have not used any Unlocks in the current billing period, you may be entitled to a pro-rata refund of the unused portion of that period. Contact [email protected] within 14 days of the billing date.
  • If you are a Business User, subscriptions are non-refundable once the billing period has commenced, except where required by law or where we are at fault.

10.3 How to Request a Refund

Refund requests must be submitted within 14 days of the relevant purchase by emailing [email protected] with your account email address, date of purchase, and reason for the request. We will respond within 5 business days. All refund decisions will be made fairly and in accordance with this policy and applicable law. Where we decline a refund, we will give reasons. If you remain dissatisfied, you may contact your card provider or, if you are a Consumer, seek alternative dispute resolution.

11. Modifications to Terms

We may update these Terms from time to time to reflect changes in our services, applicable law, or regulatory requirements. We will give you reasonable notice of material changes as follows:

  • For Consumers: we will notify you by email at least 30 days before any material change takes effect. If you do not accept the revised Terms, you may close your account before the change takes effect without penalty.
  • For Business Users: we will notify you by email or through the Platform at least 14 days before any material change takes effect.

Minor or non-material updates (such as clarifications, typographical corrections, or changes required urgently by law) may take effect immediately, and we will notify you promptly. The current version of these Terms is always available at www.rentaltrust.co.uk/terms-conditions and is identified by its version number and date.

12. Intellectual Property

All content on the Platform — including text, graphics, logos, images, software, and data — is owned by or licensed to Rental Trust Ltd and is protected by copyright, trade mark, and other intellectual property laws.

You may not reproduce, distribute, modify, transmit, or create derivative works from any Platform content without our prior written permission, except as permitted by law (including fair dealing for the purposes of research, private study, criticism, or review).

By uploading content to the Platform (including profile information, documents, and references), you grant Rental Trust a limited, non-exclusive licence to store, display, and process that content solely for the purpose of providing the services described in these Terms. You retain ownership of your content.

13. Disclaimer of Warranties

The Platform is provided ‘as is’ and ‘as available’. To the fullest extent permitted by law, Rental Trust makes no representations or warranties, express or implied, regarding:

  • The accuracy, completeness, or reliability of any content on the Platform;
  • The fitness of the Platform for any particular purpose;
  • The Platform being free from errors, interruptions, or security vulnerabilities;
  • The authenticity of any documents submitted by Tenants.

Where you are a Consumer, nothing in this clause affects the implied terms as to satisfactory quality and fitness for purpose implied by the Consumer Rights Act 2015, which cannot be excluded.

14. Limitation of Liability

Liability not excluded or limited

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot be excluded or limited under English law; or any rights you have as a Consumer that cannot be waived by contract.

Subject to the above:

  • Rental Trust’s total aggregate liability to Business Users arising out of or in connection with these Terms (whether in contract, tort including negligence, breach of statutory duty, or otherwise) shall not exceed the greater of: (a) the total fees paid by you to Rental Trust in the 12 months preceding the event giving rise to the claim; or (b) £500.
  • Rental Trust shall not be liable to Business Users for any: loss of profits; loss of revenue; loss of business; loss of anticipated savings; loss of data; loss of goodwill; or any indirect, consequential, or special loss.
  • Where you are a Consumer, our liability is limited to what is reasonable and foreseeable. We are not liable for losses that are not a foreseeable consequence of our breach or negligence.

Rental Trust is not liable for letting decisions made by Landlords or Agents based on information obtained through the Platform. Landlords and Agents are solely responsible for their own due diligence and compliance with applicable law.

15. Indemnity

Business Users agree to indemnify, defend, and hold harmless Rental Trust Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms;
  • Your violation of any applicable law or regulation, including anti-discrimination legislation;
  • Any letting decision you make based on information obtained through the Platform;
  • Any claim by a Tenant arising from your use of their profile information.

This indemnity does not apply to Consumers.

16. Third-Party Links and Services

The Platform may contain links to third-party websites or services. These are provided for convenience only. Rental Trust does not endorse, control, or accept responsibility for the content, privacy practices, or availability of any third-party site. Your use of third-party sites is at your own risk and subject to their own terms.

17. Suspension and Termination

We reserve the right to suspend or terminate your access to the Platform where:

  • You breach these Terms in a material way;
  • You engage in conduct that we reasonably consider to be discriminatory, harassing, or harmful to any Tenant or third party;
  • You provide false or fraudulent information;
  • We are required to do so by law or by a competent authority;
  • You fail to pay amounts due to us.

Where possible and appropriate, we will give you notice of the reason for suspension or termination and an opportunity to remedy the breach before we act, unless the breach is serious, involves discrimination or fraud, or urgent action is required.

If you are a Consumer, you have the right to close your account at any time. On closure, your data will be handled in accordance with our Privacy Policy and Data Retention Policy.

You may close your account at any time by contacting [email protected]. Closing your account does not entitle you to a refund except as provided in clause 10.

18. Privacy and Data Protection

Rental Trust Ltd processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy, GDPR & Data Rights page, and Verification Process Policy set out in detail how we collect, use, store, and share your personal data and what your rights are.

By using the Platform, you acknowledge that you have read and understood our Privacy Policy, available at www.rentaltrust.co.uk/privacy-policy.

Landlords and Agents who access Tenant data through the Platform act as independent data controllers in respect of their own use of that data and are solely responsible for their own compliance with data protection legislation.

19. Cookies

We use cookies and similar tracking technologies on the Platform. You can manage your cookie preferences through the cookie banner displayed on your first visit to the Platform, or through your browser settings. For full details see our Cookie Policy at www.rentaltrust.co.uk/cookie-policy.

20. Children

The Platform is not intended for use by persons under the age of 18. We do not knowingly collect personal data from persons under 18. If we become aware that a user is under 18, we will take steps to delete their account and associated data.

21. Dispute Resolution

If you have a complaint or dispute, please contact us first at [email protected]. We will aim to resolve your complaint within 10 business days.

If we are unable to resolve your complaint informally, and you are a Consumer, you may refer the dispute to an alternative dispute resolution (ADR) scheme. Details of applicable ADR schemes will be provided on request.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from the courts.

22. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the law of England and Wales.

Where you are a Business User, you irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.

Where you are a Consumer, you may bring proceedings in the courts of England and Wales, or in the courts of the country in which you are resident. We may bring proceedings against you only in the courts of the country in which you are resident.

23. General

Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

Waiver: Failure by Rental Trust to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision at a later date.

Entire Agreement: These Terms, together with our Privacy Policy, GDPR & Data Rights page, Verification Process Policy, Non-Discrimination Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and Rental Trust in relation to your use of the Platform and supersede all prior agreements.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Rental Trust may assign its rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets, provided that the successor assumes all obligations under these Terms.

Force Majeure: Rental Trust shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, pandemic, government action, internet or telecommunications failure, or third-party service outages.
